Welcome to Zaidi Refrigerant Supply. In these Terms of Service, "we," "us" and "our" mean Zaidi Refrigerant Supply. We operate this online store and website, including its content, features, products, tools and services (the "Services").

Our store runs on Shopify, which provides the e-commerce platform that lets us offer our products and Services.

These Terms, together with the policies they refer to, govern your use of our Services, including purchases through our online store. Please read them before you use the website or place an order.

By using our Services you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use our Services.

Nothing in these Terms waives or limits any right that cannot legally be waived or limited.

1. Eligibility and accounts

By using our Services, you state that you have reached the age of majority where you live or have the legal authority to enter into these Terms.

You agree to give accurate, current and complete information when you place an order or create an account. You are responsible for keeping your login details secure and for activity on your account, except where the law says otherwise.

You may not sell, transfer or assign your account to anyone else without our written consent, except where the law allows it.

We may restrict or suspend account access where reasonably necessary to protect our store, customers or business, to investigate suspected fraud, or to follow the law.

2. Products and product information

We make reasonable efforts to show our products and descriptions accurately. Product images may differ slightly from the actual product because of screen settings, photography, packaging updates or manufacturer changes.

Descriptions, specifications, availability, packaging and prices may be updated from time to time. We will not use those updates to take away rights you have under the law.

Unless we say otherwise, product images are illustrative and do not guarantee a particular packaging design or appearance.

Refrigerants must be used only for their intended purposes and in line with the law, manufacturer instructions and safety requirements. If you have questions about a refrigerant's specifications, compatibility, packaging or intended use, contact us before you order.

3. Orders and acceptance

When you place an order, you offer to buy the products at the prices and terms shown at checkout. The automated receipt email only confirms we received your order. We will tell you when we accept it.

For Arizona local delivery, the one-hour guarantee starts when we confirm acceptance, as set out in our Shipping policy.

We may decline, limit or cancel an order for a legitimate reason, including suspected fraud, a listing error, low stock, a payment problem, a delivery restriction, or missing eligibility documents under section 4. If we cancel after taking payment, we refund the original payment method, or use the method described in our Refund policy.

Check your order before you submit it. Cancellations are covered by our Refund policy and may not be possible once an order is dispatched. Nothing here overrides rights the law gives you.

We may contact you by the email address or phone number you gave us to verify information or sort out an order issue.

4. Refrigerant sales and regulatory compliance

Zaidi Refrigerant Supply sells refrigerants subject to federal, state and local laws, including the U.S. Environmental Protection Agency (EPA) refrigerant sales restrictions.

Before an order for a regulated refrigerant is placed, we verify that the buyer is legally eligible to purchase it. Depending on the refrigerant and the sale, this may require a valid technician certification, or documents showing the buyer employs a properly certified technician. Wholesale resale sales and sales to authorized representatives may need additional documents.

You must give accurate information and cooperate with reasonable eligibility checks. We may delay, decline or cancel an order when required documents are missing, eligibility cannot be verified, or the sale would break the law.

We keep invoices and supporting records for the periods and in the manner the law requires, including records that identify the buyer, the date of sale and the quantity sold.

You must handle, store, transport, use, resell, recover and dispose of refrigerants in line with legal and safety requirements. You may not use a product in an application where it is not legally permitted.

Nothing in these Terms transfers our legal obligations as a seller to our customers. For more information, see the EPA refrigerant sales restriction guidance.

5. Prices, taxes and payment

Prices are in U.S. dollars and may change before you place an order. The price confirmed when we accept your order is the price you pay, subject to corrections the law allows.

Prices do not include sales tax or any charge disclosed at checkout. There is no delivery fee for accepted Arizona local delivery orders. Nationwide retail shipping rates are $13 for Standard or $19 for Express, selected at checkout.

We accept credit cards at checkout, Zelle, and certified checks. Retail customers, including those ordering for nationwide shipping, can pay directly by card at checkout. For Arizona local delivery, all payment methods are accepted upon receipt of the order. Nationwide orders paid by Zelle or certified check are dispatched after we confirm the funds. You confirm that you are authorized to use your chosen payment method and that the details you give are accurate. We may delay, decline or cancel an order if payment fails or looks fraudulent.

Wholesale prices and promotions may have minimum quantities, eligibility rules or end dates. Where a promotion's terms conflict with these Terms, the promotion's terms apply to that promotion.

6. Shipping and delivery

Delivery and shipping are governed by our Shipping policy, which sets out the Arizona same-hour delivery guarantee, its service area and hours, the free nationwide shipping offer on wholesale orders of one full pallet (50 cylinders) or more arranged by phone, excluding mixed orders, and the carrier terms for other shipments. If this section and the Shipping policy ever differ, the Shipping policy applies.

You must give an accurate delivery address and make sure the location can lawfully and safely receive refrigerant.

7. Returns, refunds and cancellations

Returns, refunds and cancellations are governed by our Refund policy. Some products cannot be returned because of safety rules, hazardous-material transport limits, or opened or damaged packaging, as that policy explains.

Check your delivery promptly and contact us if it is damaged, incorrect, incomplete or materially different from your order. Do not send a cylinder back until we give you written instructions. This section does not limit any remedy the law requires.

8. Intellectual property

All content on our Services, including text, graphics, photographs, logos, product descriptions and website design, is owned by Zaidi Refrigerant Supply or used with permission.

You may use our website for lawful purchasing. You may not copy, distribute, modify, republish or commercially exploit our website content without our written permission, except where the law allows.

Nothing in these Terms transfers ownership of any intellectual property to you. All rights not expressly granted are reserved.

Shopify's name, logo and related marks belong to Shopify. Other third-party names and marks belong to their owners.

9. Third-party tools and links

Our Services may include links, apps, payment services or other tools provided by third parties. They are governed by their own terms and privacy practices. We do not control all of them and are not responsible for their content, availability or practices.

Where the law allows, we are not responsible for losses caused solely by third-party services outside our reasonable control. This does not exclude responsibility for our own acts or omissions where the law imposes liability.

Using third-party websites or tools is your choice. We encourage you to read the provider's terms first.

10. Relationship with Shopify

Our store is hosted on Shopify's e-commerce platform. Shopify provides technology and related services that let us run our online store.

Sales through our store are between you and Zaidi Refrigerant Supply. We are responsible for our products, order fulfillment, customer service and our obligations as the seller, subject to the law. Shopify is not the seller of our refrigerant products merely because it hosts our store.

Shopify may collect, process or store information in connection with its platform, as described in its privacy policies. See Shopify's Privacy Policy.

11. Privacy and personal information

Our Privacy Policy explains how personal information is collected, used, disclosed and processed through our Services.

Depending on how you use our store, information may be processed by Shopify, payment processors, delivery providers, fraud-prevention services and other service providers as needed for legitimate business purposes and as the law permits. Please read the Privacy Policy for details about your choices and rights.

12. Feedback and reviews

If you send us reviews, suggestions, comments or other feedback, you confirm you have the rights needed to submit it and that it does not unlawfully infringe anyone's rights.

You give Zaidi Refrigerant Supply a non-exclusive, worldwide, royalty-free license to use, reproduce, display and adapt your feedback to operate, improve and promote our Services, subject to the law. This license does not transfer ownership of your content to us.

We may remove or decline to publish feedback we reasonably consider unlawful, fraudulent, abusive, misleading, or in breach of someone's rights or our policies. We do not guarantee that every submission will be published or answered.

13. Errors, inaccuracies and omissions

Our Services may sometimes contain typographical errors, incorrect prices, outdated descriptions, inaccurate shipping information or inventory mismatches.

We may correct errors and update information. Where the law allows, we may cancel or amend an affected order if we find a material error, including after you submit it. If we cancel an order we have been paid for, we will provide any refund the law requires. We will not use this section to avoid fulfilling an order where the law requires us to fulfill it.

14. Prohibited uses

You may use our Services only for lawful purposes. You agree not to:

- Break any law, regulation or third-party right.

- Submit false, fraudulent, misleading or unauthorized information.

- Interfere with the security, operation or availability of our Services.

- Introduce malicious software, viruses or harmful code.

- Try to gain unauthorized access to our systems, accounts or customer information.

- Collect personal information from other users without proper authorization.

- Use our Services for unlawful solicitation, spam, fraud, impersonation or harassment.

- Copy, resell or exploit our website content or Services in a way these Terms or the law prohibit.

- Get around security controls or access restrictions.

We may restrict or suspend access when reasonably necessary to address suspected violations, protect customers, secure our systems or follow legal obligations.

15. Automated access and agents

Automated systems, bots, scripts and other agents may use our Services only to the extent allowed by the law, our technical restrictions and these Terms. Where the law or our published access requirements say so, automated agents must identify themselves accurately and must not misrepresent their identity or get around technical safeguards.

No automated agent may bypass access controls, evade restrictions, misuse customer information or interfere with the normal operation of our Services. We may restrict automated access where reasonably necessary to protect the store, its users or our systems.

16. Suspension and termination

We may suspend or terminate your access to our Services where reasonably necessary because of a material violation of these Terms, suspected fraud, security concerns, regulatory requirements or other legitimate business reasons. Where appropriate and lawful, we may give notice or a chance to fix the issue.

Termination does not remove payment obligations already incurred or any rights and obligations that by their nature continue. Sections on intellectual property, feedback, privacy, disclaimers, liability, indemnification, governing law and other provisions meant to survive will continue to apply as far as the law allows.

17. Disclaimer of warranties

To the extent the law allows, our website and Services are provided "as is" and "as available." We do not guarantee that our website will always be uninterrupted, error-free, secure or available.

Product warranties, if any, are limited to those we or the manufacturer expressly provide, together with any warranties or rights that cannot legally be excluded. To the fullest extent the law allows, we disclaim implied warranties, including implied warranties of merchantability and fitness for a particular purpose.

This disclaimer does not exclude or limit any express warranty we have made, any manufacturer obligation, or any warranty or consumer right that cannot legally be excluded.

18. Limitation of liability

To the fullest extent the law allows, Zaidi Refrigerant Supply and its owners, employees, agents, contractors and service providers are not liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from use of our Services or products, including certain lost profits, lost revenue or loss of data.

This limit applies only as far as such damages may legally be excluded or limited. It does not exclude liability for fraud, intentional misconduct, gross negligence where exclusion is prohibited, personal injury where liability cannot be limited, or any other liability the law does not allow us to exclude. Nothing in these Terms limits your mandatory statutory rights or remedies.

19. Indemnification

To the extent the law allows, you agree to indemnify and hold harmless Zaidi Refrigerant Supply and its owners, employees and agents from third-party claims, losses and reasonable expenses arising directly from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person's rights.

This does not apply to the extent a claim results from our own conduct, negligence, breach of these Terms, or other circumstances for which you cannot legally be required to indemnify us. We will give reasonable notice of an indemnifiable claim where practicable, and any defense or settlement must comply with the law.

20. Severability

If any provision of these Terms is found to be unlawful or unenforceable, it will be enforced to the maximum extent legally permitted or removed to the extent necessary. The remaining provisions stay in effect, and this does not override mandatory consumer protection rights or other legal requirements.

21. Waiver and entire agreement

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms, together with the policies they refer to and any order-specific terms, form the agreement governing your use of our Services and purchases through our store. If a provision conflicts with a mandatory legal requirement, the legal requirement controls.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent, except where the law allows. We may assign or transfer ours in connection with a restructuring, merger, sale or transfer of operations, subject to the law.

23. Governing law and jurisdiction

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules, to the extent they apply. Any dispute will be handled by a court with appropriate jurisdiction, subject to the law and any mandatory consumer protection rights about venue or jurisdiction. Nothing here prevents you from exercising rights that the law requires to remain available where you live.

24. Translations

We may make these Terms available in languages other than English for convenience. Unless the law requires otherwise, the English version controls if there is an inconsistency. Nothing here limits any rights under applicable language, disclosure or consumer protection requirements.

25. Headings

Headings are for convenience only and do not affect how these Terms are interpreted.

26. Electronic communications

By using our Services or placing an order, you agree that we may send transactional and service-related communications electronically, including order confirmations, shipping notices, account messages, policy updates and customer service messages. You are responsible for keeping your contact information accurate and checking messages about your orders.

Where the law requires consent for marketing messages, we will obtain and manage that consent as the law requires. You may opt out of marketing messages as the applicable rules allow. Opting out of marketing will not necessarily stop essential transactional messages.

27. Changes to these terms

We may update these Terms from time to time to reflect changes to our Services, business practices, legal obligations or other legitimate reasons. The current version is published on this page with its updated date, and we will communicate material changes where the law requires.

Changes take effect on the date stated in the notice or the updated Terms, subject to the law, and will not retroactively remove rights that have already accrued where that is prohibited. Your continued use of our Services after updated Terms take effect counts as acceptance where acceptance is legally effective.
